These Terms of Service (“Terms”) govern the use of the website and services provided by MPZ Medienagentur, operated by Georgios Zontanos, Luisenstraße 99, 40215 Düsseldorf, Germany (“we”, “us”, “our”).

By accessing our website or using our services, you agree to these Terms.

1. Scope of Services
 

MPZ Medienagentur provides services including, but not limited to:

Digital marketing and performance marketing
Development and operation of advertising platforms
Website and landing page creation
Artificial intelligence solutions (e.g. chatbots, automation systems, content automation)
Consulting and technical integrations
 

The exact scope of services is defined individually by agreement, offer, or contract.

2. Conclusion of Contract
 

A contract is concluded when:

we confirm an offer in writing, or
a project is started after explicit agreement, or
services are provided at the customer’s request.
 

Verbal agreements are valid only if confirmed in writing.

3. Customer Obligations
 

The customer agrees to:

provide all information and materials required for the provision of services in a timely manner
ensure that provided content does not violate applicable laws or third-party rights
cooperate appropriately during the project
 

Delays caused by missing cooperation do not constitute a breach by MPZ Medienagentur.

4. Prices and Payment
 

Prices are agreed individually and stated in the respective offer or contract.

Unless otherwise agreed:

invoices are payable within 14 days
all prices are exclusive of statutory VAT, where applicable
 

In the event of default, statutory interest and reminder fees may apply.

5. Third-Party Services and Tools
 

Our services may involve third-party tools, platforms or software (e.g. hosting providers, analytics tools, AI services).

We are not liable for availability, functionality or legal compliance of third-party services unless explicitly agreed otherwise.

6. Artificial Intelligence Services
 

AI-based services are provided as technical support tools.

We do not guarantee:

specific economic success
error-free output
legal correctness of AI-generated content
 

The customer is responsible for reviewing and approving AI-generated results before use.

7. Liability
 

We are liable only for damages caused by intent or gross negligence.

In cases of slight negligence, liability is limited to breaches of essential contractual obligations and to foreseeable damages.

Liability for loss of profit, indirect damages and consequential damages is excluded unless mandatory by law.

8. Warranty and Defects
 

If services are defective, we shall be given the opportunity to remedy the defect within a reasonable period.

Failure to do so may entitle the customer to statutory rights.

9. Intellectual Property
 

All concepts, designs, texts, code and materials created by MPZ Medienagentur remain our intellectual property until full payment has been received.

After payment, usage rights are granted to the customer to the extent agreed.

10. Confidentiality
 

Both parties agree to treat all confidential information obtained during cooperation as strictly confidential.

This obligation continues after termination of the contractual relationship.

11. Data Protection
 

The processing of personal data is carried out in accordance with applicable data protection laws.

12. Termination
 

Contracts may be terminated in accordance with the agreed terms or statutory provisions.

The right to extraordinary termination for good cause remains unaffected.

 

13. Governing Law and Jurisdiction
 

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Place of jurisdiction, insofar as legally permissible, is Düsseldorf, Germany.

 

14. Severability Clause
 

If any provision of these Terms is or becomes invalid, the validity of the remaining provisions shall not be affected.

15. Changes to These Terms
 

We reserve the right to amend these Terms at any time to reflect legal or operational changes. The current version is always available on our website.
